Maintain required insurance (liability & cargo)
Comply with all Federal Motor Carrier Safety Regulations
Maintain a satisfactory safety rating (if rated)
Carrier is solely responsible for:
Hours of Service (HOS) compliance
Driver qualifications
Vehicle maintenance and safety
3. Independent Contractor Relationship
Melbourne Dispatch is an independent contractor.
Nothing in this agreement creates:
A broker/carrier relationship
Employment relationship
Partnership or joint venture
Carrier retains exclusive control over:
Drivers
Equipment
Routes and operations
4. No Broker Authority
Melbourne Dispatch:
Does not hold broker authority
Does not collect or hold shipper funds
Does not assume responsibility for freight
All rate confirmations and agreements are:
Between the carrier and the broker/shipper directly
5. Payment Terms
Dispatch fees are agreed upon prior to service
Typically structured as a percentage or flat fee
Carrier agrees to pay invoices on time
Failure to pay may result in:
Suspension of dispatch services
Termination of agreement
6. No Load or Revenue Guarantees
We do not guarantee:
Load availability
Rates or profit
Continuous work
Freight availability depends on market conditions.
7. Liability Disclaimer
To the fullest extent permitted by law:
Melbourne Dispatch is not liable for:
Cargo loss or damage
Delivery delays
Broker non-payment
Fines, violations, or penalties
Carrier assumes all risks related to transportation services.
8. Recordkeeping & Documentation
Carrier is responsible for maintaining:
Bills of Lading (BOLs)
Rate confirmations
Compliance documentation
We may assist administratively but do not retain legal responsibility.
9. Termination
We may terminate services immediately if:
Carrier operates unlawfully
Insurance lapses
FMCSA authority becomes inactive
Non-payment occurs
10. Governing Law
These Terms shall be governed by the laws of the United States and applicable state laws.
